This agreement (the "Agreement") is between Hulsey Creative Co LLC ("we," "us," or "Company") and the client ("you" or "Client") who accepts these terms in connection with web design, development, hosting, and related services (the "Services").
2.Cancellation
Either party may cancel this Agreement at any time, for any reason, with or without cause, by providing written notice (email is acceptable). Fees already paid for completed work or for the current billing cycle are non-refundable unless we agree otherwise in writing.
3.Payment Terms
Recurring fees are billed monthly in advance. A late fee of $25 will be assessed on any payment that is more than five (5) business days past due. If a payment becomes more than thirty-one (31) days past due, we may take the website offline and suspend all related services. To restore the website, the outstanding balance, applicable late fees, and a $25 reconnection fee must be paid in full. The reconnection fee may be waived if the customer has clearly communicated the reason for the missed payment and made an approved payment arrangement before suspension. Repeated or extended non-payment may result in termination.
4.Revisions & Updates
For clients on a managed plan, included revisions are limited to:
One (1) small revision per monthly billing cycle (e.g., text edits, image swaps, minor styling tweaks).
One (1) large revision every six (6) months (e.g., new section, new page, layout overhaul on a single page).
Work beyond these limits will be quoted separately and must be approved in writing before we begin.
5.No Comparative Claims
Nothing in our communications, marketing, or this Agreement is implied or expressed to mean that the Services rendered by Hulsey Creative Co. are better than, superior to, or outperform services rendered by other similar businesses. All statements regarding our work reflect our own approach and standards only.
6.Intellectual Property
For "Managed Website" plans, Hulsey Creative Co. retains ownership of the underlying code while you retain ownership of your content (text, images, brand assets). For "Own It Outright" purchases, all rights to the delivered website code transfer to you upon receipt of full payment.
7.Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business results, search ranking, or uninterrupted uptime.
8.Limitation of Liability
To the fullest extent permitted by law, our total liability under this Agreement will not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
9.Changes to These Terms
We may update these Terms from time to time. The effective date and version above will be revised when changes are made. Continued use of the Services after an update constitutes acceptance of the revised Terms.
